# WYG School Pilot Agreement — Draft

**Status:** Attorney review required before use
**Effective date:** [DATE]
**School:** [FULL LEGAL NAME AND ADDRESS] ("School")
**Provider:** [WYG LEGAL ENTITY AND ADDRESS] ("WYG")

This School Pilot Agreement ("Agreement") governs a limited evaluation of WYG's football playbook teaching, testing, and readiness-reporting service (the "Service"). The attached Student Data Privacy Addendum ("DPA") is part of this Agreement and controls for student-data matters.

## 1. Pilot scope

WYG will provide one private program workspace for [TEAM/PROGRAM], up to [NUMBER] authorized athletes and [NUMBER] staff users, for the period [START DATE] through [END DATE]. Authorized features are roster enrollment, coach-authored playbooks, full-concept assignments, test creation, server-graded answers, drawing review, readiness reporting, team messages, export, and deletion requests.

The pilot is limited to school-authorized educational and team-instruction purposes. WYG will not use student data for advertising, unrelated profiling, sale, rental, or another commercial purpose unrelated to delivering and securing the Service.

## 2. Pilot success measures

The parties will evaluate: assignment completion; first-attempt accuracy; retest improvement; mobile usability; coach time saved; support response; security or privacy issues; and feedback from authorized users. No student eligibility, medical, disciplinary, employment, or playing-time decision may be based solely on a WYG score.

## 3. School responsibilities

The School will designate authorized administrators; approve the roster fields and pilot users; provide only information necessary for the pilot; manage notices or permissions required by School policy or law; maintain direct control over WYG's use and maintenance of education records; promptly deactivate unauthorized access; and notify WYG when records are no longer needed. The School represents that its signer is authorized to approve the Service and any school consent relied upon for students under 13.

WYG remains responsible for legal obligations that apply to WYG. Nothing in this Agreement transfers WYG's COPPA responsibilities to the School.

## 4. WYG responsibilities

WYG will process School Data only on documented School instructions and to provide, secure, support, maintain, and improve the contracted Service. WYG will provide role-based program access, private source-file handling, server-side grading, version evidence, export and deletion support, an incident contact, a current service-provider list, and reasonable assistance with School privacy requests.

## 5. Fees and expenses

Pilot fee: [AMOUNT OR "NO FEE"]. Payment schedule: [SCHEDULE]. Each party bears its own internal costs unless a signed order or the DPA provides otherwise. No payment information will be collected from students.

## 6. Student data

"School Data" includes records supplied or generated through School use, including student covered information. The School owns and controls School Data. WYG receives no ownership interest and only a limited right to process it for the authorized Service. The DPA describes categories, purposes, disclosures, security, retention, deletion, incident notification, parent/student rights support, and service providers.

## 7. Team content and intellectual property

The School retains rights in its playbooks, terminology, uploads, and records. WYG retains rights in the Service, grading engine, user interface, and general know-how. WYG may use aggregated or de-identified service information only when it cannot reasonably identify a student, user, or School and only as permitted by the DPA and applicable law. WYG may not publicly identify the School or use its marks without written permission.

## 8. Security and support

WYG will maintain reasonable administrative, technical, and organizational measures described in the Security Summary. Support and incident communications will follow the School Contact and Support Process and Breach Notification Procedure. The parties must identify primary privacy, security, and operational contacts before the pilot begins.

## 9. Service changes

WYG will not materially expand student-data collection or use during the pilot without written School authorization and any notice or consent legally required. Material privacy changes will be communicated before they take effect. Emergency security changes may be made immediately and documented afterward.

## 10. Term and termination

Either party may end the pilot for convenience on [10] business days' written notice or immediately for a material security, privacy, unlawful-use, or authorization concern. At termination, the School may export School Data. WYG will delete or return School Data according to the DPA and retention schedule, except records subject to a documented legal hold.

## 11. Confidentiality

Each party will protect nonpublic information received from the other, use it only for this Agreement, and disclose it only to personnel and approved providers with a need to know and appropriate duties. Student data receives the stronger protections in the DPA.

## 12. Warranties; disclaimers

Each party warrants that it has authority to sign. WYG warrants that it will not knowingly introduce malicious code and will perform the pilot in a professional manner. The Service supports coach instruction but does not guarantee athletic performance or uninterrupted availability. Additional warranties and legally required disclaimers: [COUNSEL TO COMPLETE].

## 13. Liability, indemnity, and insurance

Liability cap: [COUNSEL TO COMPLETE]. Excluded damages: [COUNSEL TO COMPLETE]. Security-breach cost allocation is stated in the DPA. Indemnification and insurance requirements: [COUNSEL TO COMPLETE]. These terms must be completed before signature.

## 14. General terms

Notices must be sent to the contacts below. Neither party may assign this Agreement except [COUNSEL TO COMPLETE]. Governing law and venue: [COUNSEL TO COMPLETE]. This Agreement, signed order, and DPA are the complete agreement; a signed School addendum controls over conflicting online terms. Amendments must be signed by authorized representatives.
